- RIS refers to RayForge Integrated Solutions, an IT solutions company offering web services, software development, digital marketing, designing and branding, cloud services, training, and consultancy.
- Client refers to any individual or business entity using our services.
- Services encompass all IT solutions provided by RIS, including but not limited to website development, software solutions, branding, and consultancy.
2. Use of Services
- Our services are intended for lawful business and personal use. You agree not to misuse them for illegal, harmful, or fraudulent activities.
- RIS reserves the right to modify, suspend, or terminate services at any time without prior notice for violations of these terms.
3. Service Agreements & Payments
- Clients engaging RIS for services must enter into a separate agreement outlining project scope, timelines, and pricing.
- Payments must be made as per the agreed terms. Late payments may incur additional fees or service suspension.
- All custom development, including websites and software, remains the intellectual property of RIS until full payment is received.
4. Intellectual Property
- RIS retains ownership of all pre-developed tools, frameworks, and methodologies used in service delivery.
- Clients receive usage rights for completed projects as agreed in their service contract. Unauthorized reproduction, resale, or distribution of RIS intellectual property is prohibited.
5.Confidentiality & Data Protection
- Both parties agree to maintain confidentiality of sensitive business information exchanged during service provision.
- RIS implements industry-standard security measures to protect client data but is not liable for breaches beyond its control.
6.Limitation of Liability
- RIS is not liable for indirect, incidental, or consequential damages resulting from service use.
- While we strive to ensure uptime and reliability, we do not guarantee uninterrupted service.
7.Termination of Services
- Either party may terminate services with prior notice as per the service agreement.
- RIS reserves the right to terminate services immediately in cases of non-compliance with these terms.
8.Amendments to Terms
- RIS may update these Terms of Service periodically. Continued use of our services implies acceptance of the updated terms
9.Governing Law
- These Terms of Service are governed by the laws of the Federal Republic of Nigeria in compliance with the International Law governing Businesses. Any disputes shall be resolved through arbitration or legal proceedings.
